Insurer Direct Line, a major employer in Glasgow, has rejected a £3.3 billion takeover bid approach from sector stablemate Aviva, it has emerged tonight. Aviva revealed after the stock market closed that it had made a bid approach to Direct Line. The regulatory news service announcement from Aviva was swiftly followed by one from Direct Line, which described the takeover approach as “highly opportunistic” and declared that it “substantially undervalued” the business . Aviva said: “In response to press speculation, Aviva announces that on 19 November 2024, it submitted a non-binding proposal to the board of Direct Line Insurance Group plc regarding a possible offer to acquire 100% of Direct Line. “Given Aviva's desire to reach a swift conclusion and to minimise distraction for both companies , Aviva presented a highly attractive proposal with high execution certainty, which also met Aviva's strict financial criteria for acquisitions. Aviva communicated to Direct Line that it believed this proposal represented a highly compelling offer and that it was designed to encourage prompt engagement to commence the work needed to reach an offer announcement under Rule 2.7 of the Code (City Code on Takeovers and Mergers) as soon as possible.” It added that, under the terms of this proposal, Direct Line shareholders would be entitled to receive 112.5 pence per Direct Line share in cash, funded through Aviva's internally available cash resources, and 0.282 new Aviva shares per Direct Line share. Aviva noted this represents a premium of 55.9% to the one-month, volume-weighted average Direct Line share price to November 27. It said: “Aviva believes that an acquisition of Direct Line would be consistent with its strategy to accelerate growth in its UK businesses and further pivot the group towards capital-light business lines. “The acquisition would expand Aviva's presence in the attractive UK personal lines market, building on its existing strength, and creating a more efficient platform from which to serve existing and new customers. In addition, the acquisition would allow Direct Line customers to benefit from Aviva's breadth, scale and financial strength.” Direct Line said: “The board considered the proposal with its advisers and concluded that it was highly opportunistic and substantially undervalued the company.” It added: “The board has considerable conviction in the capabilities of our newly established leadership team and stands firmly behind their delivery of our strategy. Under this strategy, the company continues to make early progress towards our financial targets, and expects to deliver attractive growth in profitability, capital generation and shareholder returns. “As such, the board considered the proposal to not reflect the standalone value that can be delivered by the company, and hence considered the possible offer highly opportunistic in nature. Why has it failed to catch fire? One could point to the months-long phoney war which preceded the calling of the election, draining it of surprise or drama when it finally arrived. Influencers also interviewed the candidates and held fundraisers for them. But up until now, it has been difficult to get a sense of the size and characteristics of this new wave of news providers. A unique Pew Research Center study provides a deeper understanding of both the makeup of the news influencer universe and its audience. The project includes an in-depth examination of a sample of 500 popular news influencers and the content they produce, derived from a review of more than 28,000 social media accounts. We also conducted a nationally representative survey of Americans to better understand who regularly gets news from news influencers. While many news influencers are on multiple sites, there is also a different mix of influencers on each site. A closer look at five major social media sites, Facebook, Instagram, TikTok, X and YouTube, finds that news influencers on TikTok – a fast-growing destination for news in the U.S. – stand out from those on other sites in the following ways: News influencers largely offer independent voices from outside the news media. About three-quarters of news influencers (77%) have no past or present affiliation with a news media organization, while 23% have been employed in the news industry in some way. Those in the latter category include influencers who are currently affiliated with any news outlet (digital, TV, print, etc.), those who formerly worked in the news industry before becoming an independent influencer, and freelancers who have regularly contributed to news organizations. To get a sense of what news influencers are posting about, researchers collected all public posts by the 500 news influencers in our sample for three separate weeks in 2024: July 15-21, July 29-Aug. 4 and Aug. 19-25. We then analyzed these posts using a human-validated large language model. News influencers post about a wide range of topics. Her new sound installation blends the noises of endangered and extinct animals with her own voice, reading text she co-wrote alongside editor and photographer Aleph Molinari. "It is an emergency. The apocalypse has already happened. And how we will act now is essential," Björk recites over an array of ear-tingling wildlife noises that are sometimes natural, sometimes otherworldly. "In a pioneering sound strata of mutant peacocks, bees, and lemurs, biology will reassemble in new ways." A journey through different sonic worlds Created with IRCAM (Institut de Recherche et Coordination Acoustique/Musique), a preeminent music and sound research institute based in Paris, the installation employs field recordings of animal sounds. Some of these were manipulated using artificial intelligence. University of Texas paleontologist Julia Clarke , who studies the sounds of extinct animals, said we can glean clues by studying sound-making in living species and the preserved soft tissues, skeletons and fossils of extinct ones. "We might look at the sound-producing structures, like vibratory vocal cords," Clarke said. "We might look at the structures that are rubbed together or banged together." Up to one million plant and animal species are facing extinction due to human activity including climate change, pollution and habitat loss, according to a 2019 global report on biodiversity. "What we've noticed in mass extinction is really the absence of sound," Clarke said. But she added that Nature Manifesto isn't only highlighting this catastrophic loss.
